
Manager, Company Secretarial

- Supervise a team to handle full spectrum of company secretarial matters independently for portfolio of clients (including listed/private companies)
- Draft and review announcements and circulars
- Take the lead in organizing and facilitating meetings of directors and various committees and general meetings as well as preparing related papers/minutes and related materials
- Liaise and coordinate with internal and external parties, including solicitors and regulatory bodies
- Ensure all statutory rules and regulatory requirements are met
- Assist Seniors to research technical issue
- Keep abreast of changes in regulatory compliance laws, rules and regulations, and advising clients of the operational impact and corporate governance matters
- Help developing new products/selling opportunities
- Assist Seniors to perform management duties e.g. training, staff development and recruitment etc
- Work with the team lead to achieve the business goal and financial objectives of the department
- To build and maintain a professional long-term relationship with internal & external
- Other ad hoc projects as assigned by the immediate supervisor/Seniors
- Bachelor’s Degree in Corporate Governance, Law, Accounting or other relevant disciplines
- Member of HKICS/ICSA
- 8 years of company secretarial experience; preferably with sizeable professional firms or listed companies experience
- Solid knowledge and well-versed in Hong Kong listing rules and other relevant regulatory requirements for both listed and non-listed companies but not essential
- Knowledge in ViewPoint 7.4 is preferred
- Self-motivated, well-organized and detail-oriented
- Experienced in supervising and coaching team members
- Excellent command of spoken and written English with fluent spoken Mandarin
