As the Company Secretary, you will be responsible for support the Board, management, and regulated entities within the Hex Trust group, with a focus on governance, compliance, and company secretarial administration. The ideal candidate will have excellent communication skills in English, a strong understanding of corporate governance standards, and the ability to adapt to the bespoke requirements of a financial services firm.This position offers the opportunity to work with a cutting-edge technology company in the digital asset space and exposure to a dynamic and growing international financial services environment. You will also work closely with senior leadership and contribute to strategic initiatives under a collaborative and forward-thinking work culture.Duties & Responsibilities
  • Handle the full spectrum of corporate secretarial work, including incorporation of entities worldwide and maintenance of statutory books and records for the holding company and its subsidiaries across Hong Kong, Singapore, Dubai, Southeast Asia, Europe, and other jurisdictions as applicable.
  • Oversee entity maintenance by working closely with cross-functional teams, e.g. finance, Operations, and HR, to support the business.
  • Coordinate and attend Board, committee, and shareholder meetings: plan agendas, prepare and collate precise meeting papers, draft accurate minutes, and manage logistical arrangements.
  • Prepare and draft a wide range of corporate secretarial documents, including resolutions, memoranda, and agendas.
  • Ensure compliance with legal, regulatory, and financial reporting requirements, including timely filing of statutory documents in all jurisdictions.
  • Advise the management on Hong Kong company law and corporate governance matters.
  • Supervise compliance with applicable laws, rules, and regulations, including anti-money laundering, data protection, and know-your-customer (KYC) requirements
  • Manage relationships internal and external stakeholders, including business units, lawyers, auditors, investors and vendors
  • Assist in applications or renewals of virtual assets licences globally, as well as the opening of bank accounts in different jurisdictions
  • support ad-hoc assignments related to the corporate governance and secretariat function
Requirements:
  • Associate member of HKCGI/ICSA (or working towards qualification) with at least 5 years of company secretarial experience, ideally gained from financial institutions or regulated corporations, or professional service firms.
  • Experience in handling Board, committee, and shareholder meetings, with strong skills in drafting minutes and bespoke documentation
  • Proficiency in corporate secretarial practices and regulatory requirements, particularly in Hong Kong and across the APAC region
  • Excellent written and spoken English; proficiency in Chinese will be an advantage.
  • Highly organised, detail-oriented, and capable of working independently in a fast-paced environment
  • Strong interpersonal skills and ability to liaise effectively with senior management and cross-border teams
  • Professional attitude, flexibility, and a willingness to learn and adapt in a dynamic international setting
