About Our ClientOur client is a well-established Hong Kong-listed telecommunications company, renowned in Hong Kong for over two decades. Due to ongoing business expansion and internal staff promotions, we are now hiring a new Company Secretarial staff member to join our team and support our upcoming growth initiatives.Job Description
  • Facilitate the on-boarding and orientation of new Directors, as well as support ongoing Director training and development.
  • Ensure compliance with Hong Kong Listing Rules and other applicable laws and regulations, including requirements set by relevant regulatory bodies.
  • Prepare and coordinate the release of annual and interim reports, regulatory announcements, circulars, and other public disclosures, alongside securities or corporate filings.
  • Assist in the preparation of the sustainability report and respond to related questionnaires.
  • Support the handling of legal affairs pertaining to the Company.
  • Manage the processes related to Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and major shareholders' meetings.
  • Keep abreast of corporate governance developments and advise the Board on aligning governance practices with evolving standards and the company's needs.
  • Promote effective communication among the Board, Committees, senior management, and major shareholders.
The Successful Applicant
  • Graduate with law degree or equivalent academic qualifications
  • At least 8 years of relevant work experience
  • A member of The Law Society of Hong Kong or a member of Hong Kong Chartered Governance Institute
  • Well versed in Hong Kong Listing Rules, Securities and Futures Ordinance, other laws and regulations and requirements applicable to a Hong Kong listed company
  • Working knowledge of the corporate laws of other jurisdictions including China, Bermuda, BVIs and Cayman Islands
  • Strong ethical code
  • Excellent communicator
  • Independence with a strong sense of responsibility
  • Able to work in a fast-paced environment and able to cope with changes
  • Able to commence work as soon as possible
